You will be based in Dallas. Our Dallas office is home to Elixirr Digital’s US headquarters. It drives our data, AI and digital solutions.
Job Summary
Elixirr is looking for a commercial and corporate lawyer to join Elixirr’s legal team of five senior lawyers in supporting the Elixirr Group’s business internationally and providing on the ground support from our Frisco office to support our businesses based in California, Texas, New York and Chicago.
Elixirr prides itself on doing things differently and has positioned itself as the Challenger Consultancy. It is expanding its business through inorganic and organic growth. Elixirr has completed six acquisitions since its IPO and has several potential targets in its acquisition pipeline.
You will also be responsible for reviewing, drafting and negotiating a wide range of international commercial contracts, particularly engagement and services contracts with Elixirr Group clients and suppliers. You will support Elixirr Partners and Principals with their client engagements and negotiation of contracts.
You will work with the Elixirr acquisitions team to provide in-house legal advice in respect of acquisitions of new businesses as part of Elixirr’s growth strategy and, from time to time, with external lawyers (in the UK and internationally, particularly in the US). You will provide support in respect of the due diligence process and post completion corporate and commercial matters.
You will also work with the Elixirr Operations team on internal matters such as commercial contracts, employment related contracts, share option arrangements, policies and data protection, and on the post-closing integration of acquired businesses.
You will work closely with Elixirr’s General Counsel but must be confident to operate independently in consultation with the General Counsel as you will be the sole US based legal counsel. The right candidate will thrive in a high performance culture and have the ambition to develop into a more senior role with specific responsibilities within the Elixirr Group to support Elixirr’s ambitious growth strategy.
The successful candidate will be personable, confident, proactive, commercial, entrepreneurial and unfazed by challenges, and must have strong written and oral communication and drafting skills, good attention to detail and be able to exercise sound pragmatic judgement.
Requirements
- Admitted to practice in California, Texas or New York.
- Minimum 4 years post qualification experience in a good US or International law firm.
- Previous experience of working as an in-house lawyer within a fast growth culture.
- A generalist with sound knowledge and experience of commercial contracts including relevant intellectual property and data protection issues in commercial contracts and a sound understanding of liability and indemnities.
- Experience of corporate governance.
- Fluency in English, written and spoken
