About our Company Secretarial Assistant role:

As a Company Secretarial Assistant, you’ll play a key role in ensuring the smooth day to day running of our Secretariat, working seamlessly as part of a dynamic and collaborative team.
This is a broad and fast-paced role, requiring significant stakeholder interaction across all levels and functions of the organisation. You’ll support essential corporate governance processes and help maintain the highest standards of compliance.
The ideal candidate will be at least:
- CGI part-qualified with 4–5 years’ experience
- Or 2-3 years’ post qualified
and a strong ability to thrive in a fast-moving environment.

Summary of your day-to-day?
Subsidiary Management:
- Promoting robust corporate governance practice across all Sage Group subsidiaries, including taking ownership and timely delivery of the following projects
- Cash repatriation and dividend payments at subsidiary level
- Regularisation and update of subsidiary boards in line with the Sage
Subsidiary Governance Policy
- Treasury initiated projects including the update of bank signatories, mandates, approval of intercompany loans, KYC etc
- Corporate simplification
M&A activities
Ensuring statutory and regulatory compliance of all Sage Group subsidiaries, including but not limited to:
- Lead planning and delivery of UK and overseas annual accounts approvals including reviewing financial statements, organising subsidiary board meetings/AGMs and local filing.
- Filing confirmation statements and other country specific annual returns
- Keeping PSC registers and other country specific UBO registers up to date
- Maintaining the Group Structure Chart
- Updating and maintaining subsidiary statutory registers through Blueprint and maintaining minute books
- Liaising with overseas corporate secretarial services providers, notaries, lawyers, accountants and auditors
- Assisting the Secretariat with day-to-day ad-hoc administrative tasks
- Participating in key Secretariat led projects to drive efficiencies in
- Secretariat working practices though digital transformation.
Minimum Qualifications
- Experience in a listed Plc environment or in professional services in a multi-jurisdictional, client-facing role.
The ideal candidate will be at least:
- CGI part-qualified with 4–5 years’ experience
- Or 2-3 years’ post qualified
and a strong ability to thrive in a fast-moving environment.
- Proven experience of prioritising and working to deadlines, with the ability to work in a fast-paced environment.
