EPAM is seeking a skilled
Corporate Counsel to join our Global Legal Team within the Corporate Practice Group, reporting to the Deputy General Counsel – Global Corporate.
As part of this role, you will take responsibility for M&A and corporate transactions across the EMEA region while acting as a key legal advisor on a wide variety of corporate legal matters. You will work with cross-functional teams to support strategic growth initiatives, execute corporate transactions and ensure compliance across jurisdictions. This role can be fully remote with occasional travel to relevant offices for meetings.
Responsibilities
- Provide legal support for strategic acquisitions and corporate transactions in the EMEA region including equity investments, joint ventures and restructurings
- Advise on corporate legal matters and ensure compliance with applicable laws and regulations
- Draft, review and negotiate legal documents for all phases of M&A including purchase agreements, term sheets and disclosure schedules
- Manage legal due diligence processes, assess risks and recommend mitigation strategies
- Coordinate antitrust and regulatory compliance while overseeing transaction closing mechanics
- Lead M&A integration efforts including post-closing governance, contract standardization and compliance
- Collaborate cross-functionally with internal teams to drive business-aligned solutions
- Oversee engagement with external counsel to ensure efficient and cost-effective legal support
- Stay updated on legal developments and provide proactive advice to internal stakeholders
Requirements
- Qualified Solicitor with 3+ years PQE or J.D. with equivalent experience in corporate law or M&A
- Proven ability to lead complex global transactions including M&A and post-closing integrations
- Strong legal and business acumen with the ability to anticipate issues and mitigate risks
- Exceptional organizational skills and ability to manage multiple projects while meeting tight deadlines
- Interpersonal and communication skills with the ability to collaborate effectively across functions
- Self-motivated and proactive approach to problem-solving with a focus on delivering results
- Calm and composed under pressure, with discretion managing sensitive information and complex situations
- Experience integrating technologies such as AI to enhance efficiency in legal processes (preferred)
