  • Ensure the Global Board and the Global Board members discharge their duties in accordance with UK Company Law, and working with the Office of General Counsel (OGC) to meet the obligations of the DTTL central entity constitutional documents
  • Work with the Global Chair and Office of the CEO (OCEO) to plan and manage the overall annual Global Board agenda, alongside the Global Board Operations & Projects Lead (a senior manager)
  • Arrange and prepare individual Global Board agendas, coordinate with management on pre-reads and onscreen presentations for meetings
  • Preparation of Global Board resolutions as required
  • Ensure the successful execution of Global Board meetings, and attend all Global Board meetings to record minutes and serve as the primary record keeper
  • Record, share and manage follow-up on actions and matters arising from Global Board meetings
  • Support Board Committees to exercise governance oversight duties, including the preparation of Committee meeting agendas, developing the meeting materials, conducting committee governance projects, attending Committee meetings and preparing meeting notes
  • Lead the collaboration and coordination between the Global Board and all Committees
  • Establish and lead a virtual community of Committee support team members to set best practice, provide guidance and ensure appropriate support
  • Establish and lead a global network of MF Board Secretaries
  • Coordinate onboarding and offboarding of Global Board members and manage the compliance (e.g. statutory filing) and operational aspects (e.g. distribution lists, access), in collaboration with GCO COS
  • Support the annual effectiveness evaluation of the Global Board and Committees
  • Develop knowledge of and act as advisor to the Global Chair on governance best practices
  • Prepare relevant reports, announcements, correspondence and other Board communications, in collaboration with GCO COS
  • Manage the process to update – at an appropriate cadence – the Global Board Charter and Committee Charters, in collaboration with GCO COS
  • Liaise with other internal or external stakeholders as needed, including Committees, OCEO, MF Boards and Global Executive
  • Support various governance projects and other ad hoc projects as needed

Skills, capabilities and experience –required

  • Corporate Governance experience, preferably as an experience as a board secretary
  • Qualified lawyer, paralegal or legal secretary with experience of practicing in the UK
  • Corporate Governance experience
  • A deep understanding of corporate responsibilities for the Board aligned with appropriate law and regulations
  • High integrity, absolute discretion, professionalism, maintains strict confidentiality
  • Demonstrated ability to build sophisticated and effective working relationships with senior stakeholders across multiple businesses and geographies
  • Strategic thinking self-starter, with strong project management and time management skills
  • Strong leadership skills, and ability to coach/mentor more junior team members
  • Ability to work independently and with other teams across Deloitte, under pressure and, on multiple assignments, managing to defined deadlines
  • Ability and willingness to work in a flexible collaborative manner and as part of a small team
  • Ability to multi-task and deliver on portions of multiple projects in a fast-paced, intense, results-oriented environment
  • Mastery of Microsoft Office (Excel, PowerPoint, Word) skills with strong attention to detail
  • Excellent English written and verbal communication skills

Skills, capabilities and experience –preferred (although please note the below is not essential, and all candidates that are otherwise suitably qualified will be considered):

  • Professional company secretarial qualification/ knowledge is an advantage
  • Proven professional experience, preferably in sizable professional services firm

Personal independence

We are subject to a number of audit regulations, one of which requires that certain colleagues abide by specific personal independence constraints (e.g., in relation to any financial interests and employment relationships). This can mean that you and your "Immediate Family Members" are not permitted to hold certain financial interests (shares, funds, bonds etc.) with audit clients of the firm, and also prohibitions on certain employment relationships (e.g., you are not permitted to hold a secondary employment role with SEC audit clients of the firm whilst being employed by the firm).
