Join us as a Senior Legal Counse and be part of an exciting, challenging and dynamic work environment to proactively support the definition and implementation of the expansion strategy of the Project Business Unit through the origination, development, construction and management
of PV and BESS Projects.
Main Responsibilities:
- Support to Business teams through the whole project origination and implementation stages, including development, construction and financing. This includes also the support in relation to due diligence activities for the acquisition and sale of special purpose vehicles in connection with Business Development activities and M&A transactions.
- Drafting, reviewing, and negotiating development agreements, land agreements, share purchase agreements, shareholders agreements, PPAs, project finance agreements and all kinds of agreements related to photovoltaic facilities. Assessment of contractual risks and mitigation measures.
- Drafting, reviewing, and negotiating construction (EPC and BOS/BOP) and O&M contracts related to photovoltaic facilities; performance and surety guarantees (SBLCs, bank bonds, etc.); procurement of main equipment and construction related services agreement. Assessment of contractual risks and mitigation measures.
- Support to Construction and Operation teams in the management of contracts, including but not limited to support in drafting and responding contractual communications and claims, supporting on execution of bank guarantees, and other legal daily construction and operation activities.
- Support the company for certain activities related to general legal affairs such as queries, negotiations, litigation, administrative processes and permits, project development, sectoral administrative procedures, procedures before administrative regulatory entities, advice on compliance with recurring obligations, etc.
Main Requirements:
- Bachelor Degree in Law.
- 5-10 years' experience in corporate legal department, at least 3 years in renewables, preferably solar.
- Proven experience working in a EU environment and in negotiating and contract management.
- Used to work on multinational environments and complex organizations.
- Fluent in written and spoken English.
