THE ROLE AND OPPORTUNITY


As an Assistant Company Secretary at John Laing, you will support the provision of company secretarial services for all entities within the Group. This position offers the opportunity to work closely with an engaged legal team spread across our global offices, reporting to the Group General Counsel. You will be responsible for managing group entities, supporting strategic projects, and ensuring compliance with legal and regulatory requirements. This role is perfect for a motivated and detail-oriented self-starter with excellent organisational skills and a passion for corporate governance.

KEY RESPONSIBILITIES

  • Group Entity Management: Manage and support group entities, including minute taking, resolutions, collating board packs, and updating officer appointments and resignations.
  • Strategic Project Support: Contribute to strategic project teams, providing company secretarial expertise and support.
  • Compliance and Governance: Assist with KYC, notarial actions, and compliance matters, including Companies Act requirements. Ensure adherence to corporate policies and terms of reference.
  • Entity Establishment and Maintenance: Support the establishment of new corporate structures and the unwinding of legacy structures. Maintain the Diligent database and administer online data rooms for corporate transactions.
  • Liaison with Asset Management Teams: Collaborate with European, Australian, and US asset management teams to maintain portfolio asset entities.
  • Deal Support: Provide support for deals, including entity establishment, resolutions, and governance.
  • GDPR Compliance: Assist the Group General Counsel with GDPR compliance efforts.
  • AML and Sanctions Searches: Conduct AML and sanctions searches as required.
  • Knowledge Management: Update the Group intranet and databases, ensuring accurate and up-to-date information.

WHAT YOU BRING TO THE ROLE


Required:

  • Part or fully qualified under the Chartered Governance Qualifying Programme (CGQP) by The Chartered Governance Institute UK & Ireland (CGIUKI).
  • Experience working in a similar administrative or associate company secretariat role.
  • Strong organizational and time management skills.
  • Excellent written and oral communication skills.
  • Ability to exercise independent judgment.
  • Strong attention to detail and a commitment to delivering high-quality work.

Preferred:

  • Entry-level board support experience.
  • Experience with knowledge management and updating intranet and databases.
  • Familiarity with GDPR compliance and AML/sanctions searches.
  • Proactive, energetic, and the ability to build effective relationships with stakeholders.
  • Intellectual curiosity and a values-driven mindset with high integrity and transparency.
