HSRE is looking for an experienced individual in Tax to work closely with the International Tax Director, Kristin Bonnett, on managing all tax aspects of Harrison Street’s European funds platform. The candidate will assist Kristin on the day-to-day management of the fund structures, with responsibilities including managing tax structures of investments in the UK and Europe, oversight of tax compliance, and communicating potential tax risks to stakeholders. This individual would act as a key contact for various stakeholders across the business on all tax matters related to the European fund offerings, and as part of this, they would have the responsibility for managing third party advisors.
The role requires someone with experience in tax structuring and transactions, with a focus on pan-European real estate transactions in both an opportunistic and open-ended fund context. The ideal candidate would have the ability to understand and draw conclusions from professional tax advice received from third party advisors and communicate them concisely and effectively to various stakeholders within the firm.
Reporting to the International Tax Director, the individual will be based in the company’s European HQ at 20 St James’s Street in London.
Responsibilities:
- Investment Management:
- Work alongside the transactions team and third-party tax advisors on acquisition of new UK and EU investment opportunities for fund structures:
- Review suggested structuring to determine if recommendation will achieve commercial objectives
- Confirm underwriting accurately reflects tax leakage and other impacts of determined structure
- Ensure suggested lower tier structuring works with the wider fund structure,
- Manage scope and fees of advisors
- Educate internal stakeholders including International Tax Director, transactions, asset management, portfolio management and legal teams on tax risks or requirements of suggested structures and transactions
- Ensure key risks identified from due diligence are reflected in modelling, pricing, and/or the SPA to achieve sufficient protection.
- Work with tax advisors, asset management, and third-party administrators to ensure investment structures are managed in line with tax advice provided at close of an investment during their hold period
- Communicate any required action items during the post close transition meeting process to ensure tax assumptions made at acquisition remain accurate
- Provide tax sign off on follow on capitalization of structures and distributions
- Oversee exit readiness and confirm that necessary documentation and information is readily available
- Regularly review investment structures to ensure compliance with transfer pricing implications
- Work alongside asset management and third-party tax advisors on disposition of existing UK and EU investment opportunities
- Work with tax advisors to determine optimal sale point and confirm disposal underwriting accurately reflects tax leakage to the fund
- Oversee advisors on diligence workstreams and flag any tax risks to wider HS team. Assist with any corrective workstreams, if needed
- Work with sale side tax advisors on any tax structuring required related to the disposal
- Educate internal stakeholders including International Tax Director, asset management, portfolio management and legal teams on tax risks or requirements of tax diligence findings or restructuring
- Confirm any tax compliance required due to the sale is carried out accurately and timely
- Regularly update internal tax risk matrix and tax funding summary files for transactions that have occurred.
- Tax Compliance:
- Oversee holding company structures’ local jurisdictions tax filings to ensure timely and accurate filing. Typical filings include:
- Luxembourg CIT, VAT, NWT, etc.
- UK CIT, VAT, anti hybrid and CIR analyses
- FATCA CRS filing requirements
- Manage VAT profile of entities within the funds and ensure VAT expenses are appropriately accounted for
- Oversee JV partner, third party administrators, and tax advisors to ensure investment structures’ tax compliance requirements are met timely and filed accurately
- Managing any inquiries or tax audits from the tax authorities that are raised
- Ensure consistent tax positions are taken on different entities
- Other Responsibilities:
- Collaborate with other departments to implement interdepartmental policies and procedures that enhance operational efficiency, improve information accessibility, and support tax risk mitigation efforts
- Hold educational sessions for other HS groups to inform other groups on importance of tax requirements and how it might impact their objectives
- Work with legal advisors and IR to collect necessary investor information to determine tax profile of the fund. Answer ad hoc fund queries and investor requests
- Assist International Tax Director with launch of new fund products
- Continue to monitor tax law and regulatory updates with the context of HS fund structures in mind to keep ahead of any filing requirements or structural changes that might need to take place
- Build relationships with various European service providers including legal and tax advisors. Help build cross functional processes between these groups to help them better support the HS funds.
Requirements:
- 5+ years’ experience PQE
- Experience with structuring and transactions, with a focus on pan-European and UK tax structuring
- Experience in real estate, private equity, or other similar asset management industry
- Comprehensive tax technical skills
- Excellent communication skills, both written and verbal with a fluency in English
- Exceptional organization, project management, and time management skills
- Team player, ability to develop and maintain strong working relationships
- Must be able to efficiently allocate time between multiple tasks, changing priorities, tight deadlines and provide support to team members
