The Team
The Private Capital Real Estate team is a market leading practice that acts for both institutional and private equity clients, domestically and internationally. The PCRE team sits within our main Corporate and Finance Group but works closely with our Real Estate, Real Estate Tax and Real Estate Finance teams on a daily basis. We advise on a full spectrum of indirect real estate transactions including establishment of real estate club / joint venture arrangements, real estate M&A (through the acquisition and disposal of onshore and offshore vehicles), asset and property management agreements, equity funding arrangements generally for real estate holding vehicles, supporting real estate finance and generally governance and profit sharing arrangements for real estate holding structures.
The PCRE team has a fantastic client base which will provide a suitable candidate the opportunity to gain experience in a broad range of matters at an early stage in their career. We are now looking to grow the team to support of the growth of the PCRE practice generally.

The successful candidate will be joining a dynamic, hardworking team, providing world class services to a range of high quality clients operating across a number of jurisdictions. Key areas of focus for the team
Joint Ventures / Club deals – international and large domestic investment in the past 4/5 years has led to a large number of joint venture opportunities for our clients and we have acted on a number of large scale joint venture / club deals, really focusing on development in the “Living” sector. Working with our specialist practice groups, you will gain experience in all aspects of structuring, funding and operating joint venture / club transactions, acting both for both equity funders and domestic operator/developers. The candidate will need to have experience of drafting all or material parts of shareholder and joint venture agreements, for both corporate and partnership joint venture structures.
Real Estate M&A – structured real estate M&A is a material part of our practice and therefore it’s critical that a candidate has experience in this area. In particular, working with both onshore and offshore vehicles, understanding the approach to due diligence when acquiring property holding structures and having a good working knowledge of SPAs including price adjustment mechanics. Experience of transactions involving more complex operational assets would also be helpful. The candidate will gain experience coordinating with teams from across offices and practice groups and assisting generally with the project management of transactions.
Onshore and Offshore Structures – we regularly work with entities from across multiple jurisdictions. The candidate will need to have a good working knowledge of limited companies, limited partnerships, unit trusts, limited liability partnerships and trust relationships generally. A working knowledge of private, closed ended funds would be helpful, but not essential.
Management Arrangements – being a real estate focused team, a material part of the practice is understanding the management arrangements that real estate holding structures require. A working knowledge of investment, asset and property management agreements is essential, as well as an understanding of how cashflows, performance fees and fees generally work for these sorts of arrangements.
Real Estate Sector – Ultimately everything the team works on is real estate focused. A successful candidate should have experience in this sector and want to develop relationships with clients who live and breathe real estate. Understanding the client’s commercial drivers is critical to enabling us to grow our relationship with them, so it is important we are not only excellent black letter lawyers but that we also understand how the asset classes work and the potential problems they face.
