The Opportunity:
We are seeking an experienced and commercially astute Commercial Contracts Lawyer to join our in house legal team during a time of rapid growth and transformation. This is a pivotal role providing legal guidance across all commercial departments, supporting complex multinational deals and helping shape scalable contracting processes as EOS expands. Please note, this role is based on site at our global HQ in Banbridge, Northern Ireland.
Key Responsibilities: - Draft, review and negotiate a full range of commercial agreements including:
- Master Services Agreements
- Statements of Work
- Service Level Agreements
- Terms and Conditions
- Hardware purchase and resale agreements
- Licensing and cloud and software terms
- Non Disclosure Agreements
- Prime and flow down subcontracting structures
- Assess, quantify and communicate legal and commercial risk and develop pragmatic mitigation strategies aligned with business objectives
- Support and train internal stakeholders on contract obligations, escalation triggers, dispute resolution and governance
- Advise on compliance and risk allocation across jurisdictions including the United States, United Kingdom, European Union and others, coordinating with local counsel when needed
- Partner with teams in commercial, finance, operations, security and data to ensure alignment between contract terms and service delivery
- Contribute to template playbooks, fallback positions and negotiation guides to improve consistency and contract turnaround times
About You – Skills And Experience
- Qualified solicitor or attorney in the United Kingdom or United States with an active practising certificate; dual qualification is a plus
- Minimum five years post qualification experience in complex business to business technology and services contracting ideally gained in both private practice and in house at a multinational
- Proven experience structuring, negotiating and closing large scale customer, channel, vendor and subcontract agreements
- Strong understanding of United States commercial law including principles around goods and services, limitation of liability, indemnities and data and security risks
- Experience harmonising legal positions across United States, United Kingdom and European Union jurisdictions
- Demonstrated success managing back-to-back subcontracting and multi-tier outsourcing models
- Commercially grounded legal risk assessment tailored to deal scale and operational criticality
- Experience with cross border transactions and working with international compliance teams
- Strong interpersonal skills and stakeholder engagement abilities across legal, sales, finance, operations and leadership
- Exceptional drafting and negotiation skills with a solutions-oriented mindset and meticulous attention to detail
- Comfortable working independently and collaboratively across global cross functional teams
