Exit Support Consultant (FP&A)

Position: Exit Support Consultant – Data Room Lead

Engagement Type: Contract / Interim- 6 months

Location: Remote with periodic onsite meetings

Overview

We are a private-equity–backed healthcare organisation preparing for a strategic sale. We are seeking an Exit Support Consultant with deep experience managing virtual data rooms (VDRs) and supporting middle-market healthcare exits. This role will lead all data room strategy, buildout, and execution, ensuring the company presents a complete, clean, and compelling diligence package to potential buyers.

The ideal candidate has hands-on experience driving VDR readiness for PE-backed companies, exceptional attention to detail, and strong project management skills across finance, compliance, operations, and legal functions.

Key Responsibilities

1. Data Room Strategy, Buildout & Ownership (Primary Focus)

• Serve as the primary owner and architect of the virtual data room (VDR) throughout the sale process.
• Define the full data room index aligned with healthcare-specific diligence expectations (financial, operational, compliance, regulatory, HR/credentialing, clinical quality, IT/security, contracts, etc.).

2. Cross-Functional Document Collection & Coordination

• Coordinate closely with finance, operations, IT, compliance, HR.
• Develop clear instructions, templates, and checklists to streamline document submission.

3. Diligence Request Management & Q&A Support

• Partner with investment bankers and deal counsel to manage buyer diligence lists and Q&A.
• Track, prioritise, and route requests to appropriate internal owners.
• Draft, refine, and quality-check responses - ensuring accuracy and consistency across all documentation.
• Maintain a detailed cadence of request status, deadlines, and follow-up items.

4. Transaction Readiness & Deal Support

• Support the development of the exit readiness plan with specific focus on documentation and disclosure.
• Review and refine financial, operational, and compliance materials before they are added to the data room.

6. Project Management & Process Discipline

• Maintain a comprehensive exit timeline, document checklist, and responsibility matrix.
• Run weekly VDR readiness meetings and prepare updates for management and the PE sponsor.
• Escalate critical issues or risks that could impact transaction readiness or timing.

Qualifications

• Direct, hands-on experience preparing a PE backed business for exit managing VDRs for a company undergoing a sale.
• Strong FP&A skillset, highly analytical
• Exceptional organisational skills and obsessive attention to detail.
• Excellent communication skills and comfort interacting with senior leadership, bankers, and legal advisors.
• Strong understanding of healthcare compliance and regulatory frameworks.
• Ability to manage multiple workstreams under urgent timeframes.
