Our Opportunity
Responsibilities
We are seeking a highly skilled lawyer to advise on the structuring and formation of a wide range of investment funds, including private equity, hedge funds, credit funds, and other alternative investment vehicles. Key responsibilities will include:
- Advising on the structuring and formation of investment funds, including private equity, hedge funds, credit funds, and other alternative investment vehicles.
- Drafting, reviewing, and negotiating fund documentation, offering memoranda, and investor agreements.
- Providing regulatory advice pertaining to the Alternative Investment Fund Managers Directive (AIFMD), FCA regulations, and offshore compliance frameworks.
- Managing relationships with external counsel and coordinate multi-jurisdictional legal matters.
- Liaising closely with compliance, tax, operations, and business teams to ensure alignment across fund lifecycle stages.
- Supporting corporate governance matters, including board reporting and decision-making processes.
- Keeping abreast of developments in fund regulations and industry best practices.

We are looking for an exceptional lawyer, qualified in England & Wales, with a minimum of seven years' post-qualification experience in fund formation and regulatory advice across onshore and offshore jurisdictions.
You will have strong knowledge of fund regulation including AIFMD, FCA rules, SFDR, and relevant international legislation, alongside a proven ability to handle complex legal negotiations and multi-party transactions.
The role requires an understanding of UK and international fund regulation and practical experience in fund formation across key jurisdictions including (ideally) the UK, Ireland, Luxembourg, the Cayman Islands / BVI, and Channel Islands.
You will have excellent drafting, communication, and organisational skills. Experience working in major law firms, investment managers, or fund service providers is preferred.
