We have grown successfully without a structured finance lawyer, but now our company has reached a size where this no longer is sustainable. This offers you an opportunity to enter at a senior level as a partner to management, gain a lot of business exposure and develop an in-house structured legal department.
The position (permanent) entails taking ownership of the entire legal structured finance set-up of the company, being actively involved in all lending decisions and supervising the loan and security structuring and documentation for all our transactions. You will work hand-in-hand with the CEO who has 25 years of structured finance experience and has assumed this responsibility until now.
Specific Responsibilities:
Your main responsibility is to project manage all loan applications, which includes:
- Providing day-to-day legal counsel to the growing Fiduciam business;
- Structuring lending and security arrangements including documenting a variety of complex financial transactions predominantly focussing on real estate assets;
- Negotiating contractual terms directly with the counsel of SME borrowers;
- Participating in all credit meetings to have a good understanding of the underlying commercial considerations and to deliver legal input;
- Reviewing and signing off on all loan and security documentation prepared by outside counsel;
- Developing documentation templates together with outside counsel; and
- Drafting and reviewing various commercial agreements, including service provider agreements and engagement letters.
About you:
- Qualified lawyer with significant structured lending experience with a primary focus on European property finance;
- Exposure to multiple jurisdictions and cross-border transactions;
- Experience gained in a leading City law firm (or equivalent) or in-house with a leading investment or commercial bank or similar (3 – 5 years PQE; exceptional individuals outside this range will also be considered);
- Excellent technical skills (including drafting, negotiation and structuring) and market knowledge;
- Ability to distil and focus on key legal, regulatory and documentary issues and identify appropriate solutions;
- LMA documentation experience;
- Good understanding of security enforcement techniques;
- Native level German; other language skills (in particular English and Spanish) are a plus;
- Diligent and precise;
- Ability to work well under pressure to meet strict deadlines; and
- Enjoying an international environment.
