Position Overview:
The Finance Manager–Transaction Services represents a challenging and dynamic opportunity working directly with our investment teams across multiple sectors in a global private equity firm.
You will take charge of tax structuring, funds flow and other deal workflows, with exposure to complex deals and entity structures.
This role will work closely with Big 4 firms and tax lawyers on all European investments and some Asian investments. Working alongside our investment team, debt capital markets team and Boston internal finance and operations teams, this role will have a hand in the success of our European investments and drive the continuing improvement of our processes.
Responsibilities include:
- Lead tax structuring and advisory work on new platform and add-on acquisitions across Europe and Asia, including dividend recapitalisations, management incentive plans (MIPs), group reorganisations, refinancings and exit planning, working along side deal team, capital markets, US tax and finance teams.
- Oversee tax due diligence reports prepared by external advisors, critically reviewing technical positions and providing clear, commercially grounded recommendations to deal team members.
- Lead on fund flows with external advisors, working with internal finance, capital markets, and the Luxembourg team to deliver efficient topside and cross-border investment structures.
- Ensure compliance with US tax considerations, including PFIC classification, check-the-box (CTB) elections etc, in collaboration with the US tax team.
- Proactively identify and implement tax optimisation strategies across the portfolio in coordination with the Strategic Resource Group (SRG), adding value throughout the investment lifecycle.
- Monitor and assess international tax developments, including BEPS, Pillar 2, and regional legislative changes, and communicate risks and opportunities to internal teams and leadership.
- Take ownership of team growth and development, including onboarding, training, and managing a future junior hire to scale tax capacity in line with business needs.
Job Qualifications
- Bachelor’s Degree with strong academic credentials
- 6-8 years of relevant tax experience, ideally from a Big 4 firm and/or in-house at a private equity or investment firm.
- ACA/CTA/CPA or equivalent professional qualification.
- Strong technical background in cross-border tax structuring, transaction tax, and international corporate tax.
- Exceptional analytical and organizational skills
- Familiarity with Luxembourg holding company structures and associated tax planning.
- Knowledge of US international tax concepts relevant to a US-headquartered fund (CTB elections, PFIC).
- Experience across Europe and Asia, with strong regional awareness of local tax environments
- Strong Excel skills
- Demonstrated ability to manage multiple stakeholders and advise non-tax professionals
- Strong interpersonal, written, and verbal communication skills; confident in dealing with senior management and external advisors
- Collaborative approach and ability to work effectively in a multi-disciplinary, cross-border team.
