Your new role
In this exciting role as Senior Legal Counsel UK you will be responsible for assisting in the delivery of integrated commercially-focused legal solutions and support to the UK business to achieve its strategic objectives in a compliant manner. The Senior Legal Counsel UK will provide advice, guidance and support that enables the business to achieve its strategic mission in a way that minimises legal and compliance risk for the business. The role focuses mainly on general commercial advice to project tendering and contracts, sourcing and procurement, project execution and contract management.
Specifically, you will be responsible for the following deliverables:
- Supporting bidding, negotiation, drafting, contract management and dispute resolution in respect of major train manufacturing, signalling and railway technology projects as required, with a particular focus on manufacturing and maintenance contracts (MSAs, TSAs, TSSSAs), PPPs, JVs/consortium agreements and supply chain contracts.
- Working with cross-functional teams in the analysis and management of legal, compliance, commercial and reputational risks in relation to bidding and commercial negotiations.
- Helping to develop and deliver legal advice, training, templates and tools and processes across the Group, including to an international audience.
- Representing the Legal function on cross-functional teams, building relationships and counselling stakeholders on legal commercial and reputational risk, in a user-friendly and pragmatic manner.
- Assisting as needed with corporate governance, internal approval requirements and company secretarial matters.
- Providing general legal guidance and support on a range of other matters to ensure company compliance with all applicable laws and regulations. Advice will include, for example, matters of regulation, intellectual property, data protection, corporate law, M&A, procurement, real estate, construction, litigation and employment.
- Working closely with our compliance team to uphold our expectations of ethical conduct, including supporting on investigations where required.
About You
- Degree in Law or equivalent, entitled to practice in England.
- 7-12 years’ PQE in top tier international law firms, industrial companies or government.
- Good knowledge of English law and practice; familiar with common contracting schemes, especially projects, sourcing and procurement.
- Strong commercial acumen and pragmatism, with the ability to deliver clear and straightforward advice to a range of different audiences.
- Good negotiation and risk management skills, able to operate at multiple levels including with customers, suppliers and other stakeholders.
- Familiarity with UK corporate governance processes and regulations, and capability to deal with corporate documentation.
- Team player with good verbal and written communications skills, listening, willingness to learn, ability to work and communicate in a diverse global organisation.
- Strong cultural awareness skills, with the ability to work cohesively with people from different backgrounds. Experience working with Japanese, Italian, German, French or other international professional environments would be an added advantage but not essential.
- Ability to prioritise and manage multiple tasks simultaneously, strong problem-solving and critical thinking skills and strong business and financial acumen.
