Role Overview
We are looking for a talented Corporate Associate to join our fast growing Corporate team and Newcastle office, which is a great opportunity for ambitious lawyers to progress quickly through the ranks.
Along with Newcastle, our highly experienced and recognised corporate team operates from our offices in Liverpool, Manchester, Birmingham, London, Leeds, Hong Kong and Singapore. We offer our clients accessible corporate support from our experienced national and international network and specialise in advising a range of clients, from large-listed companies and private equity funds to smaller start-up and owner-managed businesses and management teams on the full range of transactions - both domestic and cross-border.
Key Responsibilities
Supporting on mergers or acquisitions or disposal transactions for corporate clients
Supporting/leading acquisition and disposal of business and assets and/or shares
Supporting on public company transactions, such as IPO’s or equity fundraisers.
Supporting/leading due diligence exercises, data room reviews or management and disclosure processes (be it in relation to buy side or IPO legal due diligence work or sell side legal disclosure work);
Preparation and finalisation of disclosure letters and supporting bundles
Supporting on and reviewing investment documents either acting for investing institutions or management teams on PE backed transactions or placing agreements.
Drafting and negotiating the terms of transaction ancillary documents (such as completion board minutes, deeds of waivers, resignation letters, Companies House forms etc.)
General corporate work including corporate restructurings, shareholders agreements, joint ventures and limited liability partnership agreements, specifically drafting the principal documents
Assisting with business development and tenders including (where appropriate) research about clients and targets
Opportunities for early exposure to clients.
What Are We Looking For
Important criteria:
Qualified Solicitor or equivalent
It would be beneficial for you to have some of the following:
Law degree (or equivalent)
Excellent communication skills both written and verbal
Excellent organisational skills with the ability to prioritise
Proficient in use of document management systems
Strong technical skills and a willingness to learn.
