Sole Legal Counsel

An exciting opportunity has arisen for a Sole Legal Counsel to join our growing and innovative business. This role offers the chance to take full ownership of the legal function, acting as a trusted advisor to senior stakeholders while supporting a dynamic, biotechnology-driven environment.
As Sole Legal Counsel, you will play a pivotal role in supporting the business across a broad range of legal matters. This is a hands-on, commercially focused position where you will work closely with teams across the organisation.
Key Responsibilities
Commercial Agreements
- Draft, review and negotiate a wide range of commercial agreements, including supplier, distribution, NDA, MSA, MTA, licensing and services agreements
- Support internal stakeholders with contract negotiations and risk assessment
- Oversee contract lifecycle management and maintain accurate contract records
Intellectual Property
- Support external IP counsel with the protection and management of IP including patents, trademarks and trade secrets
- Liaise with external advisors on filings and strategy
Corporate Governance
- Assist with board and corporate governance matters, including filings and statutory compliance
- Maintain company records and support governance best practice
Legal Advisory & Risk
- Provide pragmatic, business-focused legal advice across the organisation
- Identify and mitigate legal and commercial risks
Data Privacy
- Lead on compliance across key areas including data protection (GDPR), corporate governance and regulatory requirements
- Develop and implement internal policies, procedures and compliance frameworks
- Conduct risk assessments and deliver training to the wider business
External Counsel Management
- Manage relationships with external law firms and ensure cost-effective delivery of legal services
Cross-Functional Collaboration
- Work closely with teams across BD, R&D, operations, sales, facilities, finance and HR
- Translate complex legal issues into clear, actionable advice
About You
You will be a commercially minded legal professional, with a minimum of 8 years’ experience (PQE), who thrives in a standalone role and enjoys working closely with the business.
Key Requirements:
- Experience in handling a broad range of commercial agreements and data protection
- Experience in biotechnology, CDMO manufacturing, or engineering environments
- Strong drafting and negotiation skills
- Ability to provide clear, practical legal advice to non-legal stakeholders
- Comfortable operating autonomously and taking ownership of a legal function
- An understanding of relevant scientific and technological principles and processes that will enable you to understand our inventions and explain them to others
- Good understanding of UK and European patent systems and an appreciation how the patent systems in other significant jurisdictions (e.g. US) differ
Desirable:
- Exposure to IP matters or regulatory frameworks
- Experience working with international partners or distributors
