Job Summary
Elixirr is seeking an experienced and highly motivated M&A Manager to join our dynamic M&A team. The successful candidate will be responsible for supporting negotiations with acquisition targets, leading commercial and financial due diligence, and ensuring the successful completion of multiple deals. This role requires a proven track record in facilitating transactions, strong leadership skills, and the ability to manage a team of multiple FTEs. In this role you will be reporting into Elixirr’s M&A Principal, M&A Partner and the Deputy CEO and Founder.
Responsibilities
- Manage all aspects of the M&A process, including deal sourcing, evaluation, structuring, negotiation, and execution.
- Oversee the evaluation of inorganic opportunities whether originated internally or in response to inbounds.
- Support negotiations to secure favourable terms and conditions, ensuring alignment with Elixirr’s strategic objectives and financial goals.
- Oversee commercial due diligence, including a client survey and company analysis.
- Conduct financial due diligence, including analysis of financial statements, valuation, sustainable normalised EBITDA, target working capital and net cash/debt definitions.
- Ensure that all risks identified across all diligence streams are highlighted to Elixirr senior management with mitigations agreed.
- Commercial negotiation of SPA terms and ensuring that the legal drafting is consistent with commercial intent, including in relation to earn out structures, purchase price adjustment mechanisms and risk allocation.
- Develop and maintain strong relationships with key stakeholders, including the senior management of a Target company, advisors, and Elixirr senior management.
- Coordinate with legal, tax, and other advisors to ensure all aspects of transactions are thoroughly vetted and compliant with relevant regulations.
- Oversee preparation of internal transaction materials for Elixirr management team and board.
- Ensure that there is an agreed integration plan with clear accountabilities in place before execution of the transaction
- Contribute to corporate strategy analysis and discussions with Elixirr management team and board.
- Oversee preparation of Elixirr strategic material and reports, including quarterly Board papers, biannual company results and investor material.
Requirements
- Experience within in-house Corporate Development roles preferred or lead advisory roles (e.g. Big 4 or Investment Bank).
- Proven track record of successfully completing multiple M&A transactions, with ideally 4-7 years’ experience as an M&A professional.
- Extensive experience in conducting financial due diligence, valuation, and risk assessment.
- Detailed understanding of valuation methodologies.
- Strong communication skills with the ability to influence senior colleagues.
- Experience within the professional services market is preferred.
- Strong negotiation skills with a proven ability to drive favourable outcomes.
- Exceptional analytical, problem-solving, and decision-making abilities.
- Excellent communication and interpersonal skills, with the ability to build and maintain relationships with diverse stakeholders.
- Excellent leadership and team management skills, with experience leading a team.
- Aptitude for managing multiple live transactions in parallel.
- High level of integrity, professionalism, and attention to detail.
