Paralegal (Company Secretarial)

Based in Edinburgh or Glasgow


REPORTING TO

Paul McLaughlin, Partner


JOB PURPOSE

To support the corporate team in the daily running of the firm’s company secretarial and registered office program.


CORE TASKS

  • Overseeing and attending to the day-to-day requirements of the firm’s company secretarial program.
  • Accurately maintaining the statutory registers and updating the company books in both hard copy and electronic formats.
  • Drafting and lodging Companies House statutory filings including confirmation statements, appointment, resignation and share allotment forms.
  • Attending to the incorporation of new companies and acting as the firm’s first point of contact in respect of the formation aspects of new companies.
  • Preparing both directors’ and members’ board minutes and resolutions.
  • Maintaining various databases for purposes of meeting filing deadlines and keeping accurate and up to date client information.
  • Preparing company profile reports by researching statutory documents on file with Companies House.
  • Acting as the first point of contact for the firm’s company secretarial clients and ensuring all questions and instructions are professionally and proactively dealt with.
  • Ability to confidently deal with third parties on a day-to-day basis via e-mail, phone or in person.
  • Attending to new client intake by following the firm’s client identification and anti-money laundering requirements, and keeping the solicitors updated as the process progresses.
  • Drafting monthly and annual fee notes and organises for external invoices to be paid in compliance with the firm’s internal procedures. Follows up process with relevant team through to completion.
  • Undertaking ad hoc legal tasks, when necessary, under the direction of solicitors and the team's professional support lawyer.
  • Be aware of Brodies’ information security policies, and protect information assets from unauthorised access, disclosure, modification, destruction or interference at all times.

    • This position is demanding so the successful candidate should be used to working under pressure, often with tight deadlines.
    • Organised with an eye for detail.
    • The ability to prioritise and to handle multiple projects simultaneously is essential.
    • Flexible in approach to work and willing to use initiative.
  • A team player, but equally able to work independently.
  • Good communication skills and able to deal with people at all levels.
  • Willingness to stay current on new company legislation.
  • Desire for a long-term paralegal career

  • SKILLS

    • Familiar with the Companies Act 2006 and the statutory filing requirements.
    • Proficient in the use of Microsoft applications. Additionally, it would be advantageous if familiar with Diligent Entities; DMS (iManage) and Aderant.
    • Excellent communication skills both written and verbal.
    • Adopts a flexible and proactive approach to work duties.
    • Organises and prioritises time effectively to achieve tight deadlines.
    • Presents a professional image to clients and other external organisations at all times.
    • Self-motivated and driven.
    • Commercial and profit focus.
