Role overview

The team

Our growing transactional tax practice sits within our highly regarded corporate group. We advise on a wide variety of matters and transactions for both corporate and individual clients. This includes corporate M&A, corporate reorganisations and real estate transactions. We work closely with lawyers across all parts of the firm giving tax advice on complex, often high-profile matters. We also regularly assist our banking, employment teams and other teams, whenever tax issues arise.

In addition, we advise as to the tax treatment of employee share schemes and other incentive arrangements and support our successful warranty and indemnity (W&I) practice.

We advise clients of all shapes and sizes on transactional tax issues. We are well known for our sector expertise in consumer, brands and retail, technology, media and entertainment, insurance and financial services.

  • Consumer Brands and Retail: we advise on all types of transactions from minority investments to market leading M&A. Like our clients and their brands, many of our deals are international.
  • Technology, Media and Entertainment: we have also advised on numerous tech M&A transactions ranging from the more traditional industrial technology to the more cutting edge.
  • Insurance and Financial Services:we provide M&A expertise with market-leading insurance and financial services knowledge and experience.

  • We regularly work with colleagues in overseas jurisdictions, on matters that have cross-border tax implications. Our broader tax offering includes a market leading tax disputes team. Together, we provide specialist tax advice for a full spread of clients.

    The role

    We are looking for a talented associate with 6+ years of post-qualified experience. We offer a strong platform for an ambitious lawyer looking to develop their career and progress.

    You will have opportunity to be involved in a broad mix of work with opportunity for specialisation including:

    • drafting and negotiating tax warranties and indemnities for both buy-side and sell-side on corporate M&A ranging from small - through to medium - and large-sized deals
    • advising on the tax treatment of corporate reorganisations and restructurings
  • advising management teams on the tax treatment of share disposals, rollovers and reinvestments
  • drafting tax clearance / relief requests
  • preparing notes of advice for clients, on a wide variety of subjects, including complex stamp duties and VAT analysis
  • advising as to the tax treatment of a variety of real estate transactions (with a focus on SDLT and VAT issues)
  • assisting the W&I team on the tax aspects of their work, and leading tax-only W&I mandates - there is opportunity to build W&I specialisation, to seek out specific tax insurance work, and to be part of the further growth of this already successful area
  • considering the tax treatment of various share incentive and share option arrangements, and assisting in the drafting of share scheme documentation

  • You will have a high degree of autonomy and client involvement; you will be encouraged and supported in helping drive the business forward.

    Knowledge, Skills And Experience

    • 6+ years of post-qualified experience or equivalent relevant expertise.
    • Expertise in transactional tax including experience in corporate tax (M&A), corporate reorganisations and real estate related tax advice. Experience in W&I (both in terms of acting on deals backed by W&I, but also in advising W&I insurers) will be a plus.
  • Delivers legal and commercial solutions, working collaboratively with clients and colleagues to provide an outstanding client experience.
