Role Purpose

A senior management role responsible for supporting and coordinating the Group's corporate governance framework, with particular focus on the Group holding company, TopCo governance, Board and Committee administration, governance policies and investor-related governance matters. The role acts as Company Secretary to the Group's strategic holding company and key Group-level committees, ensuring effective governance processes, accurate record keeping and high-quality Board and Committee operations. The postholder works closely with the Regulated Cosec team to ensure alignment between Group-level governance requirements and regulated entity obligations.

Key Accountabilities:

Board & Committee Secretariat

• Act as Company Secretary to the Group holding company Board and relevant committees, providing authoritative governance advice and ensuring compliance with statutory and regulatory obligations.
• Lead the planning, coordination and delivery of Board and Committee agendas, papers, minutes, actions and follow-up.
• Provide company secretarial support to executive and governance committees, including ExCo, RemCo, Risk & Audit, and other Group committees as required.
• Ensure consistent governance standards and effective decision-making across jurisdictions.
• Act as a conduit between top-level Boards, Committees and executive forums to support clear governance flow and escalation.

Group Governance & Effectiveness

• Support the development and continual improvement of the Group governance framework
• Provide governance advice and guidance to directors and senior leaders
• Promote consistent governance standards across jurisdictions and business units.
• Support governance considerations relating to significant governance, structural and stakeholder matters

Group Governance Oversight & Regulatory Interface

• Support the governance aspects of corporate transactions, restructurings, acquisitions, integrations and strategic change programmes.
• Coordinate governance input into investor, lender, audit and other third-party due diligence activities.
• Maintain Group corporate records, governance documentation, structure charts and governance information repositories.
• Ensure Board and Committee approvals are identified, obtained and accurately recorded in support of key business decisions and strategic initiatives.
• Provide governance oversight and coordination for matters requiring escalation to Group-level Boards and Committees.

Policy, Process & Governance Infrastructure

• Manage and coordinate the Group Policy & Process framework
• Coordinate policy reviews and updates across the Group and maintain governance templates and libraries.
• Provide governance support and guidance.

Collaboration

• Work collaboratively with the Regulated Cosec functions.
• Build strong relationships across jurisdictions and functions to promote a culture of professionalism, accountability and sound governance.
• Liaise with the CEO Office, executives and investors on governance-related matters

Requirements:

• Maintain strict confidentiality in relation to Board, regulatory, investor and governance matters.
• Operate effectively across multiple jurisdictions and regulatory environments.
• Represent the Group professionally with regulators, advisers and external stakeholders.
• Commit to continuous professional development and maintenance of technical expertise.
• Experience in a senior governance or company secretarial role within a complex, multi-jurisdictional environment.
• Strong technical understanding of corporate governance, company law and regulatory frameworks.
• Proven ability working with senior stakeholders.
• Excellent drafting skills, particularly for board materials and governance documentation.
• Strong technology aptitude, with the ability to quickly adopt and utilise digital tools and systems to enhance governance processes and operational effectiveness.
• Experience supervising, developing or coordinating governance or company secretarial activities
• High level of integrity, discretion and professionalism.

Preferred Minimum Qualifications:

• CGI/ICSA-qualified Chartered Company Secretary (or equivalent).
• Additional governance or risk management qualifications beneficial.
